Our client, a highly-respectedAmLaw 50law firm with a robust transactional practice, is seeking a talentedSenior Associate Attorneyto join theirtransactionsteam in theirAtlantaorChicagooffice.
Candidate Profile:
- JDfrom a top-tier law school with a strong academic record.
- Active Bar Admission in appropriate jurisdiction.
- 4-6 yearsof substantive experience in
- mergers and acquisitions (M&A), representing public and private companies and private equity clients.
- Strong interpersonal skills, with the ability to work effectively in team-oriented environments and engage directly with clients.
- A proven track record of managing complex transactional matters.
- Experience representing public and private companies and private equity clients in M&A, carve-out transactions, securities offerings, restructurings, joint ventures, and spinoffs, with an emphasis in the health care industry a plus.
Key Responsibilities:
- Advise clients on all aspects ofM&A transactions, including structuring, negotiation, and execution.
- Draft and reviewtransactional documents, including purchase agreements, shareholder agreements, and related contracts.
- Collaborate with cross-disciplinary teams to address regulatory, corporate governance, and tax considerations.
- Providestrategic counsel to clients across industrieson their corporate transactions and related matters.
- Contribute to client development initiatives by building and maintaining strong client relationships.
